Microsoft and OpenAI Seal $500 Billion Restructuring Deal to Form Public Benefit Corporation

The landmark agreement redefines OpenAI’s governance and investment structure, granting greater independence while preserving Microsoft’s strategic stake and cloud partnership.

Microsoft and OpenAI have reached a transformative agreement enabling the ChatGPT maker to restructure itself as a Public Benefit Corporation (PBC) — a move that values OpenAI at an extraordinary $500 billion and provides the company with enhanced operational freedom.

The restructuring dissolves restrictions dating back to 2019, when OpenAI’s collaboration with Microsoft limited its ability to raise outside capital in exchange for access to Azure’s cloud infrastructure. As ChatGPT’s meteoric rise reshaped global AI adoption, those limitations became a persistent source of tension between the two firms.

Under the new structure, OpenAI Group PBC will be governed by the OpenAI Foundation, a nonprofit entity ensuring the organisation remains mission-aligned while pursuing commercial growth. Microsoft retains a 27% equity stake, valued at roughly $135 billion, after investing $13.8 billion in OpenAI since the partnership’s inception — a return nearly tenfold.

In a notable change, CEO Sam Altman will not receive equity in the restructured entity, reversing earlier discussions that had hinted at personal ownership. The company also clarified that it currently has no plans for an initial public offering (IPO).

Industry analysts welcomed the clarity this agreement brings. “This deal solidifies the Microsoft–OpenAI partnership while clearing the path for OpenAI to achieve sustainable profitability,” said Dan Morgan, Portfolio Manager at Synovus Trust, Atlanta. “With $4.3 billion in revenue but a $13.5 billion net loss in the first half of 2025, the company needed a governance model that balanced mission with market demands.”

Raimo Lenschow, Analyst at Barclays, New York, added, “The agreement removes uncertainty that’s weighed on Microsoft’s stock and reaffirms its leadership in the AI ecosystem. If earnings stay strong, this could re-energise investor confidence and restore momentum to Microsoft’s share performance.”

The partnership — once viewed as an experiment in hybrid governance between nonprofit ideals and for-profit innovation — now enters a new era. By transitioning into a PBC, OpenAI signals its intent to scale responsibly while preserving its founding mission: ensuring that artificial general intelligence benefits humanity as a whole.
